1. Acceptance of Terms

By accessing and using Celly AI Microscope ("Service"), you accept and agree to be bound by the terms and provisions of this agreement. If you do not agree to abide by the above, please do not use this service.

2. Description of Service

Celly AI Microscope is an AI-powered microscope automation kit that transforms laboratory workflows through automated cell-locating technology, digital slide imaging, and AI-assisted analysis. The Service includes:

• Mobile application for iPhone/iPad
• Web-based platform for analysis and reporting
• AI-powered diagnostic assistance
• Cloud storage and data management
• LIS (Laboratory Information System) integration

3. Use License

Permission is granted to temporarily use the Service for personal or commercial diagnostic purposes. This is the grant of a license, not a transfer of title, and under this license you may not:

• Modify or copy the materials
• Use the materials for any commercial purpose or for any public display without permission
• Attempt to decompile or reverse engineer any software
• Remove any copyright or other proprietary notations from the materials
• Transfer the materials to another person or mirror the materials on any other server

4. Medical Disclaimer

IMPORTANT: Celly AI Microscope is not intended for in-vitro diagnostic use in clinical laboratories except the countries where it is approved for use. The Service provides automated cell-locating and AI-assisted analysis, but all results must be reviewed and verified by a qualified, skilled operator trained in recognition of blood cells and pathological evaluation.

The AI analysis provided by the Service is intended to assist healthcare professionals and should not be used as the sole basis for diagnostic decisions. All final diagnostic decisions remain the responsibility of qualified medical professionals.

5. Data Use and Machine Learning

By using the Service, you acknowledge and agree that Celly AI Microscope may use scanned images, diagnostic data, and analysis results collected through your use of the Service ("User Data") for the following purposes:

• Machine Learning and AI Training: Celly AI Microscope may use anonymized and de-identified User Data to train, improve, and develop our artificial intelligence and machine learning models. This includes but is not limited to improving diagnostic accuracy, pattern recognition, and automated analysis capabilities.
• Service Improvement: User Data may be used to enhance, maintain, and improve the Service, including developing new features and functionality.
• Research and Development: Aggregated and anonymized User Data may be used for research purposes to advance medical diagnostic technology.

All User Data used for machine learning purposes will be processed in accordance with applicable privacy laws and our Privacy Policy. Personal identifiers will be removed or anonymized where possible.

By using the Service, you consent to receive marketing communications from Celly AI Microscope, including but not limited to:

10. Limitation of Liability

In no event shall Celly.AI Corporation, its directors, employees, partners, agents, suppliers, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your use of the Service.

11. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms. Upon termination, your right to use the Service will immediately cease.

12. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

13. Governing Law

These Terms shall be interpreted and governed by the laws of the State of California, United States, without regard to its conflict of law provisions. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
